    Payment Terms

    The full remaining balance (purchase price less deposit) is due when the Puppy reaches 6 weeks of age — that is, two weeks before the Puppy Go-Home Date (8 weeks). Seller is under no obligation to release the Puppy to Buyer until the remaining balance has been paid in full.

    1. Late or Missed Payment; Default

    • Any deposit paid is non-refundable and is not transferable to another puppy or another buyer except at Seller's sole written discretion.
    • If Buyer fails to pay any amount within seven (7) days after its due date, Seller may, after giving Buyer written notice, declare Buyer in default.
    • On default, Seller may terminate this Agreement and retain all amounts already paid as liquidated damages for holding the Puppy off the market and for care and services already rendered. The parties agree this is a reasonable estimate of Seller's damages and not a penalty. Seller is then free to place the Puppy with another family.
    • Seller may, but is not required to, extend a due date. Any extension must be in writing and does not waive any other due date.

    2. Veterinary Inspection; 72-Hour Requirement

    Buyer agrees to obtain a wellness examination from a licensed veterinarian within 72 hours after the Puppy Go-Home Date. The veterinarian must provide a signed written statement describing overall fitness and any health concerns. Failure to provide such written veterinary documentation to Seller within 72 hours will void all guarantees under this Agreement.

    3. Health Guarantee; Remedies

    • Seller warrants that, to the Seller's knowledge, the puppy is healthy, socialized, and current on age-appropriate deworming and vaccinations at transfer. Seller offers a one (1) year limited congenital health guarantee measured from the puppy's date of birth for congenital defects that substantially impair the puppy's ability to participate in normal daily activities.
    • If a congenital health defect meeting this paragraph's standard is documented by Buyer's licensed veterinarian and reported to Seller in writing, and Seller is given the right to obtain a second opinion from a veterinarian chosen by Seller (at Seller's expense), Seller's sole obligation will be, at Seller's option, to (i) provide a one-time replacement puppy of roughly equal value from a future litter, or (ii) accept return of the puppy and provide no refund of purchase price. Buyer is responsible for any transport/shipping costs for replacement/return. No monetary refunds will be provided except as required by applicable law.
    • Buyer must provide all veterinary records, including the initial 72-hour exam, and any veterinarian reports supporting a claim. Failure to return the puppy to Seller when requested for evaluation or to provide requested records will void this guarantee.
    • This guarantee expressly excludes viral or bacterial illnesses, vaccinosis, parasites (except congenital conditions specifically diagnosed by a veterinarian), allergies, injuries, acquired conditions, improper diets, failure to vaccinate or follow veterinary advice, behavioral issues, and conditions listed as excluded, including but not limited to hernias, cherry eye, luxating patella (unless diagnosed congenital and debilitating), undescended testicles, hypoglycemia, parvovirus, giardia, coccidia, and injuries or illnesses resulting from ingestion of foreign objects or toxic substances.

    4. Care and Vaccination Requirements

    Buyer agrees to maintain the puppy's health with regular veterinary care, timely vaccinations and boosters per veterinary guidance, parasite prevention, and a quality diet. Failure to follow reasonable medical or care guidelines (including the requirements of Section 5) voids the health guarantee.

    5. Spay/Neuter Agreement; Pet-Only Sale

    • Puppy is sold as a pet. Buyer agrees not to breed the puppy.
    • Buyer agrees to have the puppy spayed or neutered by a licensed veterinarian prior to 12 months of age and to provide Seller with written verification (veterinary invoice or certificate) within 14 days after the procedure.
    • If Buyer breeds the puppy or fails to spay/neuter within the required timeframe, Buyer agrees to pay Seller liquidated damages of $5,000. The parties agree this amount is a reasonable estimate of Seller's damages and not a penalty.
    • If enforcement requires legal action, the prevailing party shall be entitled to recover reasonable attorney's fees and costs.

    6. Transfer of Ownership

    Ownership transfers to Buyer at the time of final payment and physical transfer of the puppy. If at any time Buyer cannot keep the puppy, Buyer agrees to notify Seller and return the puppy to Seller. Buyer will not surrender the puppy to a shelter or transfer ownership without Seller's written permission.

    7. Registration/Microchip/Records

    Seller will provide any registration paperwork, microchip information, health record, and vaccination/deworming history in Seller's possession at time of sale. Buyer agrees to update registration/microchip contact information promptly.

    8. Limitations of Liability; No Other Warranties

    Except as expressly set forth in this Agreement, Seller makes no other express or implied warranties, including merchantability or fitness for a particular purpose. Seller's liability under this Agreement is limited to the remedies described in Section 3. Under no circumstances shall Seller be liable for incidental, consequential, or punitive damages.

    9. Entire Agreement; Amendment; Severability

    This Agreement constitutes the entire agreement between the parties with respect to the puppy and supersedes all prior discussions and agreements, including any prior correspondence about price, scheduling, or services. Any amendments must be in writing and signed by both parties. If any provision is found invalid or unenforceable, the remainder will remain in full force and effect.

    10. Confidentiality of Disputes

    Both parties agree that, in the event of a dispute between them, neither will publish or communicate the existence or content of such dispute in any media or forum, including social media, provided that this provision shall not prevent either party from bringing legal action or engaging in confidential mediation.

    11. Agreement to Mediate

    If a dispute arises out of or relates to this Agreement, or the alleged breach thereof, and if the dispute is not settled through negotiation, the parties agree first to try in good faith to settle the dispute by mediation before resorting to arbitration, litigation, or some other dispute resolution procedure. The process shall be confidential based on terms acceptable to the mediator and/or mediation service provider.

    12. Governing Law and Venue

    This Agreement is governed by the laws of the State of Utah. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Tooele County, Utah, unless otherwise agreed in writing.

    13. Acknowledgement

    Buyer acknowledges reading and understanding this Agreement, including the 72-hour veterinary requirement in Section 2, the limited one-year congenital guarantee in Section 3, the payment and default terms in Section 1, and the breeding and ownership terms in Section 5.
